Company Law Reform Update – IDV, ACSPs and More
Speaker: David Impey – Company Law Solicitor
Accountants advising limited companies have come to terms with the significant changes to UK company law and the powers of the Registrar of Companies, in force from 4 March 2024, but are now planning for the even more important changes in Part 1 of the Economic Crime and Corporate Transparency Act 2023 not yet in force.
Particularly, the new regimes requiring identity verification (IDV) of directors, Persons with Significant Control, and in-house officers and employees who file documents and information at Companies House for their company and colleagues, and the registration of professional advisers as Authorised Corporate Service Providers (ACSPs) at Companies House, are starting to take shape.
This course will update you on latest developments relating to IDV and ACSP registration, and much more, including the abolition of abridged and filleted accounts, abolition of statutory registers, new confirmation statement rules, and what you and your clients should be doing about them now.
In this session David Impey will cover the relevant parts of Part 1 of the 2023 Act, and relevant draft regulations and Registrar’s Rules recently published in relation to IDV and ACSPs, and other developments, including:
Proposed ID verification checks on company directors and persons with
• IDV of directors and ‘persons with significant control’ and registration of ACSPs at Companies House
• IDV for those filing at Companies House, and the new information required on every filing
• new rules for corporate directors, and new restrictions on when a new director can act
• abolition of statutory registers - except for the register of members, the one-off requirement to check existing shareholder details, and the new confirmation statement rules
• accounting changes, including abolition of abridged and filleted accounts for small companies and micro-entities; power for Companies House to require information to be filed digitally, new ‘statements of eligibility’, and restrictions on shortening accounting reference periods
By attending this session, you will be better equipped to assess the implications of the changes for your practice, identify threats and opportunities and take action to help you keep your existing clients and take new ones on board.
